These Terms and Conditions (“Terms”) govern your access to and use of the products,
services, and websites provided by Codefremics Limited (“Codefremics”, “we”, “us”, or “our”).
By engaging with our services, you agree to comply with these Terms. If you do not agree,
you must refrain from using our services.
Use of Services
Eligibility: You may only use our services if you are legally capable of entering
into binding contracts under applicable law.
Authorized Use: You agree to use our services only for lawful purposes and in
compliance with these Terms, applicable laws, and regulations.
Account Responsibility: You are responsible for maintaining the confidentiality
of your account credentials and for all activities conducted under your account.
Intellectual Property
All content, trademarks, logos, designs, software, and related intellectual property
provided by Codefremics remain our exclusive property or that of our licensors.
You may not reproduce, distribute, or create derivative works without prior written consent.
Confidentiality & Data Protection
Both parties agree to maintain the confidentiality of non-public information obtained
in the course of engagement. Codefremics complies with Kenya’s Office of the Data Protection Commissioner (ODPC) certification,
the Data Protection Act, and other applicable privacy laws. Please review our

Fees and Payments
All fees for services are agreed in writing before project commencement. Payments must be
made in the agreed currency and within specified timelines. Late payments may result in
suspension or termination of services.
Warranties & Disclaimers
We warrant that we will deliver services with reasonable care, skill, and in accordance
with industry standards. Except as expressly stated, our services are provided “as is”
and we disclaim all other warranties, express or implied.
Limitation of Liability
To the maximum extent permitted by law, Codefremics shall not be liable for indirect,
incidental, or consequential damages arising from the use of our services. Our total
liability for any claim shall not exceed the fees paid for the service giving rise to
the claim.
Termination
Either party may terminate a service agreement with written notice if the other party
materially breaches these Terms and fails to remedy the breach within a reasonable period.
Upon termination, all outstanding fees become immediately due.
Governing Law & Dispute Resolution
These Terms are governed by the laws of the Republic of Kenya. Disputes shall first be
resolved amicably through negotiation, and if unresolved, submitted to arbitration or
courts of competent jurisdiction in Nairobi, Kenya.
Changes to Terms
We may update these Terms from time to time to reflect legal, technical, or business changes.
When material updates occur, we will provide notice by posting the updated Terms on our
website or by direct communication where applicable.
